Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, customer portal, AI-powered cybersecurity platform, and related products offered by Nubesti LLC (“Nubesti,” “we,” “us,” or “our”).

By creating an account, purchasing a plan, requesting a demo, or using our services, you agree to these Terms. If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the services.

Nubesti LLC is a Delaware limited liability company.

2. Services

Nubesti provides an autonomous AI red team and security-testing platform. Services may include vulnerability assessment, penetration testing, threat simulation, MITRE ATT&CK and OWASP-aligned coverage, reporting, integrations, onboarding, and related professional services.

Features, limits, and pricing are described on our website, order form, or at checkout. We may improve, modify, or discontinue features with reasonable notice when the change is material to your plan.

Our services help identify security weaknesses. They do not guarantee that every vulnerability will be found, that systems will be breach-proof, or that you will achieve a particular compliance certification.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract. Our services are not directed to children.

You must provide accurate account information and keep it updated. You are responsible for safeguarding credentials and for activity under your account, including actions by teammates you invite.

If you use the services on behalf of an organization, you represent that you have authority to bind that organization and to authorize testing of the systems you designate.

KYC is mandatory and paid. You must complete identity and company verification and pay the KYC / verification fee before we activate paid seats or allow tests to launch. See the KYC & Verification Policy.

4. Authorization to test

You may use Nubesti only to test systems you own or for which you have explicit written authorization. You are solely responsible for obtaining that authorization, defining scope, and complying with applicable law. Use the Authorization Letter.

Unauthorized testing, scanning, or exploitation of third-party systems is prohibited and may result in immediate suspension and legal action. See our Acceptable Use Policy and Rules of Engagement.

5. Orders, billing, and renewals

Paid plans are sold on a subscription basis as stated at checkout or in an order form. Current public pricing starts at USD 690 per month for Starter and USD 1,500 per month for Professional. Enterprise pricing is custom. A 14-day free trial may be offered on eligible plans. KYC / verification fees are charged in addition to plan fees and are generally non-refundable.

Unless canceled according to the Refund & Cancellation Policy and Billing & Renewals, paid plans may renew for a successive term at the then-current rate. You authorize Nubesti and its payment processors to charge the payment method on file for renewals, KYC fees, and undisputed amounts owed.

Failed payments may result in suspension after notice. Reactivation may require payment of outstanding balances.

6. Acceptable use

Your use of the services must comply with our Acceptable Use Policy. We may investigate abuse reports and take action, including suspension or termination, to protect the platform, other customers, or third parties.

7. Customer data and findings

You retain ownership of data you submit and of the factual findings we generate about your environment. You grant Nubesti a limited license to host, process, transmit, and display that data solely as needed to provide the services (for example, running tests, generating reports, backups, support, and security monitoring).

Nubesti retains its intellectual property in software, models, methodologies, prompts, playbooks, and platform design. Reports may be used by you for your internal security and compliance purposes.

8. Third-party services

The services may interoperate with third parties (cloud providers, payment processors, analytics, support tools, or integrations you enable). Those services are governed by their own terms. Nubesti is not responsible for third-party outages or policy changes outside our control. See Subprocessors.

9. Support

Support is provided through the channels we publish, including email and the customer portal. Response targets may vary by plan. Professional services and custom engagements are scoped separately.

10. Service availability

We aim to keep the platform available and performant. Paid public plans are covered by our Service Level Agreement unless a different written SLA applies. Scheduled maintenance, upstream incidents, customer-side configuration, and events outside our control may affect availability.

11. Suspension and termination

We may suspend or terminate services for material breach of these Terms or the Acceptable Use Policy, non-payment, legal compulsion, or risk to the platform or third parties. You may cancel according to our Refund & Cancellation Policy.

Upon termination, your right to use the services ends. Customer data may be deleted after a commercially reasonable retention window unless law requires longer retention.

12. Intellectual property

Nubesti branding, site design, documentation, models, and platform software remain our property or that of our licensors. These Terms do not transfer ownership of our intellectual property to you.

13. Disclaimers

Except as expressly stated in writing, the services are provided “as is” and “as available,” without warranties of uninterrupted or error-free operation, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

Security testing can have operational impact. You are responsible for using staging environments where appropriate, setting safe scope, and maintaining backups.

14. Limitation of liability

To the fullest extent permitted by law, Nubesti and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity.

Our aggregate liability arising out of or related to the services will not exceed the amounts you paid to Nubesti for the service giving rise to the claim during the twelve (12) months before the event.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.

15. Indemnity

You will defend and indemnify Nubesti against claims arising from your content, your use of the services, unauthorized testing, your breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.

16. Privacy

Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf, the Data Processing Addendum applies.

17. Changes

We may update these Terms by posting a revised version with an updated date. Material changes will be highlighted on this page or communicated by email or in-product notice when practical. Continued use after the effective date constitutes acceptance of the revised Terms.

18. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your place of residence apply. Courts located in Delaware will have exclusive jurisdiction, subject to those mandatory protections.

Before filing a claim, the parties will attempt good-faith negotiation for 30 days after written notice to [email protected].

19. Identity verification (KYC)

Paid access and test launches require successful KYC. You must pay the KYC / verification fee shown at checkout or in your order form. That fee is in addition to subscription charges and is generally non-refundable. We may refuse or freeze service until verification is approved. Details: KYC & Verification Policy.

20. Artificial intelligence

The platform uses automated and AI-assisted analysis. Findings are not a guarantee of completeness. We do not use your customer findings to train public foundation models. See the AI Use Policy.

21. Export controls and sanctions

You may not use the services if you are a sanctioned person or located in a comprehensively sanctioned jurisdiction. See Export Controls & Sanctions.
